1.1. Marketplace — the THEECOMAX platform operated at theecomax.com, providing a multi-seller marketplace for sustainable products.
1.2. Seller — a registered business entity or individual entrepreneur accepted to list and sell products through the Marketplace.
1.3. Buyer — any user who purchases products through the Marketplace.
1.4. Order — a confirmed, paid transaction between a Buyer and a Seller facilitated by the Marketplace.
1.5. Commission — the category-based percentage fee charged by THEECOMAX on completed Orders, as defined in the Fee Policy.
1.6. Plan — the subscription tier selected by the Seller (Starter, Growth, or Brand Pro), determining commission rates, payout cadence, and feature access.
1.7. EcoScore — the Marketplace's environmental impact assessment system applied to products based on evidence submitted by Sellers.
1.8. Settlement Currency — the currency elected by the Seller for payout purposes (EUR or USD).
2.1. Seller accounts require business verification and acceptance of this Agreement before listing products.
2.2. Three Plans are available: Starter (€0/mo), Growth (€39/mo), Brand Pro (€149/mo). Plan features and commission tiers are defined in the Pricing Page.
2.3. Plan upgrades take effect immediately with pro-rated billing. Downgrades take effect at the end of the current billing cycle.
2.4. The Marketplace reserves the right to modify Plan pricing with 60 days' advance notice. Active annual plans are grandfathered for their remaining term.
3.1. Commission rates are determined by product category and Seller Plan at the time of Order payment capture.
3.2. Commission is calculated on gross Order value (product price × quantity + shipping charged to Buyer), excluding government-collected taxes.
3.3. Minimum commission: €0.50 per Order. Maximum commission: €75 per individual line item.
3.4. The full category commission schedule is published at /sell/pricing and incorporated by reference.
3.5. Commission rate changes require 30 days' advance notice to Sellers.
4.1. Payment processing is provided by Stripe and charged at cost (pass-through): 1.5% + €0.25 for EU transactions; 2.9% + €0.25 for international transactions.
4.2. Payment processing fees are shown as a separate line item on Seller invoices and are not marked up by THEECOMAX.
4.3. Payment processing fees are non-refundable, including in cases of Order refund or cancellation.
5.1. Payouts are issued per the cadence defined by the Seller's Plan: Starter (14 days), Growth (7 days), Brand Pro (3 business days).
5.2. Order funds become payout-eligible after delivery confirmation plus a 48-hour buffer.
5.3. Minimum payout threshold: €10. Balances below threshold roll to the next payout cycle.
5.4. Payouts are settled in the Seller's elected Settlement Currency via Stripe Connect.
5.5. Full payout terms are detailed in the Payout Policy.
6.1. New Seller verification holds apply to the first orders per Plan: Starter (5 orders, 21-day hold), Growth (3 orders, 14-day hold), Brand Pro (2 orders, 7-day hold).
6.2. A 5% rolling reserve applies during the first 90 days for Starter and Growth Sellers. Reserve is released 90 days after each withholding.
6.3. Risk-based holds may be applied at the Marketplace's discretion for up to 30 days, subject to manual review.
6.4. Dispute-related holds equal the disputed amount and are maintained until resolution.
7.1. Refund commission treatment follows the Fee Policy.
7.2. Full refund (buyer return, within policy): commission refunded minus €0.50 handling fee.
7.3. Full refund (seller fault): commission refunded in full, no handling fee.
7.4. Partial refund: commission recalculated on new net amount; difference refunded.
7.5. Pre-shipment cancellation (buyer or seller): full commission refunded. Processing fee retained.
8.1. If a Buyer initiates a chargeback via their bank, the disputed amount is held from the Seller's balance.
8.2. A €15 dispute fee (Stripe pass-through) is charged regardless of outcome.
8.3. If the chargeback is upheld, commission is refunded and the full Order amount is deducted from the Seller's balance.
8.4. If the chargeback is reversed, the held amount is released to the Seller.
9.1. Sellers are responsible for submitting accurate sustainability evidence for EcoScore assessment.
9.2. THEECOMAX does not guarantee specific EcoScore grades. Assessments are based on submitted evidence.
9.3. False or misleading evidence may result in listing removal and account review.
9.4. EcoScore methodology is published at /ecoscore.
10.1. Accurate listing information including descriptions, images, pricing and inventory.
10.2. Fulfillment within stated delivery windows.
10.3. Buyer communication response within 48 hours.
10.4. Compliance with applicable consumer protection, product safety and tax regulations.
10.5. No prohibited products as defined in the Marketplace Product Policy.
11.1. Sellers are solely responsible for their own tax obligations, including VAT/GST registration, collection and remittance.
11.2. Where required by law, the Marketplace may collect and remit taxes on behalf of Sellers (marketplace tax collection).
11.3. Sellers must maintain a current Tax Profile including VAT ID and registration country.
12.1. The Marketplace may suspend Seller accounts for: policy violations, quality failures, excessive chargebacks, fraudulent activity, or legal compliance requirements.
12.2. Suspension notice: 14 days advance for policy-related issues; immediate for fraud or legal requirements.
12.3. During suspension, all payouts are held. Balance is released upon resolution or after 180 days per applicable law.
12.4. Appeal process available within 30 days of suspension.
13.1. Commission rate changes: 30 days' advance notice via email and Seller dashboard.
13.2. Plan pricing changes: 60 days' advance notice. Active annual plans grandfathered.
13.3. Optional service pricing: may change with 14 days' notice.
14.1. Marketplace fees apply identically to domestic and cross-border Orders.
14.2. Import duties and customs are the Buyer's responsibility.
14.3. Cross-border selling tools are available on Growth and Brand Pro Plans.
14.4. FX conversion uses Stripe mid-market rates at settlement time.
15.1. This Agreement may be amended with notice as specified in Section 13.
15.2. Continued use of the Marketplace after the notice period constitutes acceptance.
15.3. Material changes require explicit re-acceptance during next login.
16.1. This Agreement is governed by the laws of the European Union member state where THEECOMAX is incorporated.
16.2. Disputes shall be resolved through the European Commission's Online Dispute Resolution platform or competent courts.
